2. Description of Services
Nile Nexus ERP is a cloud-based Enterprise Resource Planning (ERP) platform providing modules such as accounting, finance, payroll, HR, CRM, inventory, purchasing, sales, reporting, analytics, and related business services.
3. User Accounts
Users are responsible for maintaining the confidentiality of their account credentials and for all activities occurring under their accounts. Accurate registration information must be maintained at all times.
4. Authorized Use
The Services may only be used for lawful business purposes. Users must comply with all applicable laws and regulations while using the platform.
5. Prohibited Activities
Users may not attempt to gain unauthorized access, interfere with system security, upload malicious software, violate intellectual property rights, misuse customer information, or use the Services for unlawful purposes.
6. Subscriptions and Payments
Subscription fees, implementation services, and other charges must be paid according to the applicable agreement. Failure to pay may result in suspension or termination of the Services.
7. Intellectual Property
All software, source code, trademarks, logos, documentation, designs, and related intellectual property remain the exclusive property of Nile Nexus Group Limited or its licensors unless otherwise agreed in writing.
8. Customer Data
Customers retain ownership of the business data they upload. Nile Nexus processes customer data solely for providing, securing, maintaining, and improving the Services in accordance with the Privacy Policy.
9. Service Availability
We strive to provide reliable service but do not guarantee uninterrupted or error-free operation. Scheduled maintenance, upgrades, or unforeseen events may temporarily affect service availability.
10. Limitation of Liability
To the maximum extent permitted by law, Nile Nexus shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from the use or inability to use the Services.
11. Indemnification
Users agree to indemnify and hold harmless Nile Nexus Group Limited from claims arising from misuse of the Services or violation of these Terms.
12. Suspension and Termination
We may suspend or terminate accounts that violate these Terms, applicable laws, or security requirements. Users may terminate their subscriptions in accordance with the applicable agreement.
13. Third-Party Services
The platform may integrate with third-party services. Nile Nexus is not responsible for the content, policies, or practices of independent third-party providers.
14. Confidentiality
Both parties agree to protect confidential business information obtained during the use of the Services, except where disclosure is required by law.
15. Governing Law
These Terms shall be governed by the laws specified in the applicable customer agreement, without prejudice to mandatory consumer protection laws where applicable.
16. Changes to the Terms
Nile Nexus may update these Terms periodically. Continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
